This Public Offering Agreement

This Public Offering Agreement (hereinafter – the “Offer”, the “Agreement”), posted on the website https://wypranella.pl/, constitutes an official offer by the 

 Private entrepreneur Godlevska Anastasiia TAX ID 3704712540 Registered in Ukraine 

  (hereinafter – the “Contractor”) to any natural or legal person (hereinafter – the “Client”) for the purpose of concluding remotely, under the terms and conditions set out below, an Agreement for the provision of information and advisory services.

1 Definition of terms:

1.1 This clause sets out the interpretation of the following terms, definitions and terms used in this Agreement:
1.1.1 “Information and Consultancy Services” (hereinafter abbreviated as “Services”) – the set of information and consultancy services as defined in Article 2 of the Contract, which are provided by the Contractor on the basis of requests received from the Ordering Party.
1.1.2 “Wypranella” is an information and advisory service organised by the Contractor that brings together Cleaning Companies and Customers, helping them to establish cooperation in the cleaning of flats and premises.
1.1.3. “Cleaner”. – natural or legal person who provides cleaning services, cleaning of flats and premises, is a business partner of Wypranella. Cleaners are not employees or collaborators of Wypranella.
1.1.4. “Request” – an order for the provision of services drawn up by the Service Recipient in written, oral or electronic form (including by completing the relevant forms on the Site), specifying the specific types of Services to be provided to the Service Recipient, the place where the Services are to be provided, and the date on which the Services are to be provided.
1.1.5 “Website” – Wypranelli’s website located on the Internet domain: https://wypranella.pl/ and managed by the Contractor.
1.1.6 “Agreement”, “Offer”. – the document published on the Website on the Internet, which regulates the relationship between the Ordering Party and the Contractor in the process of providing the Services.
1.2 All definitions, terms and terms not defined in this section shall be interpreted in the sense defined by the applicable laws of the Republic of Poland and, in the absence of such definition, in their ordinary meaning.

2 Subject matter of the offer:

2.1 On the terms and conditions set out in this Tender, the Purchaser entrusts and pays for, and the Contractor undertakes to provide, on request, information and consultancy services for the selection of persons to provide cleaning services to the Purchaser (hereinafter referred to as the Cleaner) and to organise the conclusion of the cleaning contract between the Cleaner and the Purchaser.
2.2 Wypranella does not provide cleaning services. Cleaning services are provided by Wypranella’s business partners (Cleaners) on the basis of a contract concluded with the Customer. The Cleaners have the necessary permits and provide the services themselves (personally or through employees or service providers). Disputes related to the performance of the cleaning contract, in particular regarding consumer rights, will be resolved directly between the Customers and the Cleaners.

3 Conditions for acceptance of the offer:

3.1 This Contract is public in accordance with the requirements of Polish law and its terms and conditions are the same for all Customers. Unconditional acceptance of the terms and conditions of the Contract shall constitute acceptance of this offer for which the Contractor publishes this Contract.
3.2 This person acquires the general rights and obligations of the Customer from the moment of acceptance of the Offer. Acceptance of this Offer constitutes payment by the Customer for the Services through the Wypranella Service.
3.3 Acceptance of this Offer implies that the Customer is fully acquainted with the terms and conditions of this Agreement before the Parties sign a bilateral written agreement on the terms and conditions set out in this Offer.

4 Contractor’s Obligations:

4.1 Provide the Services upon acceptance of this Offer by the Customer in accordance with the terms of this Offer.
4.2 Process the Submissions sent by the Client in a timely manner.
4.3 Maintain the confidentiality of information received from the Client .

5.Customer’s obligations:

5.1.To pay for the Services under this Agreement in the amount and manner set out in the terms of this Agreement.
5.2.Ensure that the Clients have access to the cleaning service areas and do not interfere with the provision of cleaning services.

6 Procedure for the provision of services:

6.1.In order to receive services, the Customer draws up and sends a request via the Service, which is processed by the Contractor as soon as possible.
6.2.As a result of the processing of the application, Wypranella accepts it or refuses it.
6.3.Wypranella provides information and advisory services and enables the conclusion of the cleaning contract between the Customer and the Customer by sending the order directly to the Customer. An agreement between the Customer and Wypranella (including verbally) is deemed to be confirmation of the Wypranella Service.
6.4 The Cleaning Service shall be deemed to have been ordered when the Customer orders it via the Website. When the Cleaner confirms the service, the Customer enters into a separate contract with the Cleaner for the provision of cleaning services. Wypranella does not provide cleaning services and is not a party to the contract with the Customer.
6.5 Cancellation of an ordered cleaning service is when the Cleaner has responded to a request which the Customer subsequently refuses to use. When an application for a service is cancelled at the request of the Customer, Wypranella will be charged a cancellation fee.
6.6 When the Cleaner informs the Customer that he/she has arrived at the place where the cleaning services are to be provided and the Customer or the persons for whom the services have been ordered do not make the place where the services are to be provided available to the Cleaner, the Application shall be deemed cancelled. Occasionally, the Cleaner may cancel the order. Please note that Wypranella is not responsible for such situations.
6.7 Once the Customer has arrived at the place of service and has sent notice of his/her arrival, Wypranella may start charging the Customer an additional waiting fee at Wypranella’s rates.
6.8 If the Customer has ordered cleaning services with Wypranella and has caused damage to the equipment, the cleaning company has the right to demand a penalty of PLN 700 from the Customer and to claim compensation if the amount of damage exceeds the penalty. If the Customer fails to pay the penalty or repair the damage, Wypranella may make a claim on behalf of the Customer.

7 Cost of services and mode of payment:

7.1 The Contract Price is the sum of all Services provided under the Contract. The price may include taxes if they are required by law.
7.2 Payment for the Services shall be made on a prepayment basis, in the national currency of Poland – PLN, to the current account of the Contractor through the Service. The receipt of funds on the current account of the Service Provider is the basis for the commencement of the Services.
7.3 The Services provided are an individual order of the Customer, and therefore the funds paid for the Services are non-refundable, except in cases expressly provided for by Polish law.
7.4 In the case of payment through the Service, Wypranella receives the payment and transfers the money to the Customer, excluding commissions and taxes in accordance with the law.
7.5 In the case of payment for cleaning services via the Site , Wypranella shall not be liable for possible payment costs of third parties (e.g. mobile operators, bank charges, payment service charges). These service providers may charge additional fees when processing payments. Wypranella is not responsible for such charges. The payment method may also be subject to additional conditions imposed by the respective third-party payment service provider. Please read these conditions before using the payment method.
7.6 Wypranella is responsible for the operation of the Service. For support, please contact us at: wypranella@gmail.com. Wypranella responds to requests sent by e-mail within one working week.

8 Responsibility of the parties:

8.1 As Wypranella is only a means of communication between Customers and Customers and provides information and advisory services, Wypranella does not guarantee and is not responsible for the quality of the cleaning services provided by Customers.
8.2 Wypranella makes it possible to forward requests to the relevant cleaning companies, but Wypranella does not provide cleaning services or cleaning services. Wypranella’s website serves to organise the provision of cleaning services.
8.3 The consumer’s right of withdrawal and return does not apply to orders placed through Wypranella.
8.4 Wypranella does not guarantee that access to the Website will be uninterrupted or error-free. In the event of any software errors, the Contractor will make every effort to correct them as soon as possible, but the operation of the Service may be limited due to occasional technical errors.
8.5 Wypranella, its representatives, directors and employees shall not be liable for any damage that the Customer may suffer due to the non-performance or improper performance of the cleaning services by the Customer.

8.6. the Parties shall be indemnified against liability for non-performance and/or improper performance of their obligations under the Contract in the event of force majeure circumstances arising after the conclusion of this Contract as a result of extraordinary events which the Parties could not have foreseen or prevented by reasonable means (force majeure).
8.7 The Contractor shall have the right to discontinue the Services if the Contracting Authority does not properly perform its obligations under this Contract.

9 Additional conditions:

9.1 The Contractor, on its own initiative and without agreement with the Contracting Authority, taking into account the terms and conditions of this Contract, may engage third parties to perform certain types and quantities of Services: subcontractors, other persons / specialists.
9.2 The Contracting Authority shall be prohibited from exerting any influence on the Clients, as well as on the employees, persons and specialists engaged by the Contractor to provide services under the Contract, or engaging them in their own activities, including entering into partnership agreements, contracts for work and/or services, labour contracts/work contracts, civil law contracts, or otherwise cooperating with them without the written consent of the Contractor.
9.3 When using Wypranella, the Customer is obliged to comply with the terms and conditions of this Agreement and to respect Customers who offer their services through Wypranella. The Contractor reserves the right to terminate this Contract with immediate effect, to terminate the Services without reimbursement in the case of malicious actions of the Customer, e.g. late payment for the provision of cleaning services, fraud, disrespect to the Customers, etc.

10 Final provisions:

10.1 This Agreement shall enter into force upon acceptance of the Offer by the Customer and shall remain in force until the Parties have fully performed their obligations under the Agreement.
10.2 The Parties reserve the right to terminate the Contract in the event of non-fulfilment of the terms of the Contract by the other Party by notifying the other Party. The Customer shall have the right to refuse the Services at any time and the cost of the Services paid for shall not be refunded.
10.3 Any disputes and misunderstandings arising in connection with the performance of this Agreement shall be resolved by negotiation or through the courts in accordance with applicable Polish law.
10.4 In the course of correspondence between the Parties related to the fulfilment of the terms and conditions of this Agreement, the Parties may exchange letters and other documents, electronic mail (e-mail), through the instant messaging service Telegram/Viber/WhatsApp.
10.5.By entering into this Agreement, the Parties agree to the processing of personal data specified in this Agreement or provided during its execution, as well as to the inclusion of such personal data in their own personal databases (if any) for the purpose of conducting business in accordance with Polish law.
10.6.The Contractor shall have the right to unilaterally amend the Contract by publishing the amendments on the Contractor’s Website. Amendments to the Contract shall come into force as of the date of their publication on the Contractor’s Website, unless a different effective date is additionally indicated upon their publication.
